Fees and Charges
Terms. Payment terms are outlined in the project proposal. All payments must be received by the due dates outlined in the proposal to avoid delays. Failure to remit payment may result in a work stoppage on the project or campaign.
Third-Party Fees. All third-party fees are paid directly to the third-party vendor. This includes, but is not limited to, search ad spend, social ad spend, content distribution services, and email marketing services.
Invoices. All invoices are due upon receipt unless an exception has been detailed in the proposal. All monthly service fees require automatic monthly payment via credit/debit card or ACH. If an account is 30 days overdue, all services will be suspended.
Payment Methods. Billing and payment services are delivered electronically through Momentum’s online billing system, QuickBooks Online. Notifications to view and pay invoices are sent to Clients and authorized payers via email. We accept credit/debit cards, ACH transfers, and checks.
Automatic Payments. The Client agrees to let Momentum charge the Client’s payment method on file for all hosting charges, billable maintenance, work orders, and website fees based on the payment terms in this Agreement.
Credit/Debit Card Payments. A 3% processing fee will be added to the total amount of any invoice paid by credit or debit card. This fee covers the cost of card transaction processing and applies to both one-time and recurring payments. Clients may avoid this fee by paying via ACH transfer or check.
Standard Hourly Rate. Momentum’s hourly rate is $160/hr.
Billing Increments. Hourly work is billed in 15-minute increments (0.25 hours), with a minimum charge of 15 minutes per task or request.
Late Fees. Momentum reserves the right to charge a late fee of 2% per month on any unpaid balance more than 30 days overdue.
Past Due Accounts. Accounts more than 60 days past due are subject to immediate suspension of all services, including hosting, maintenance, marketing campaigns, and active projects. Work will not resume until the account balance is paid in full. Momentum reserves the right to permanently discontinue services for accounts that remain unpaid after 90 days.
Refunds. Refunds for website design and marketing services are not provided.
Website Design and Development
Initial Planning. Our process begins with the project plan presentation, which includes the scope of work and direction for the project. The project plan must be approved by the Client to proceed with the next phase.
Creative and Design. The creative deliverables and number of web design concepts are outlined in the proposal. Each project is developed from an approved design, providing a unique version or concept.
Development. Each website is developed based on the features and scope of work outlined in the proposal. Additional features or functionality requested by the Client will require a written scope change or change order, and additional fees will apply. These changes may also affect project timelines.
Revision Policy. We include three rounds of design and development revisions to refine and perfect your vision. Additional revisions beyond the initial three rounds will be billed at our standard hourly rate. An estimate will be provided for approval before further work commences.
Client Feedback and Timeliness. Clients are expected to provide timely feedback for each project phase, including the project plan, design, copywriting, and development reviews. Momentum provides a 7-business-day feedback period per phase. Failure to provide feedback within this timeframe may delay or stall the project timeline.
Copywriting Services
Scope-Defined Copywriting. The extent of copywriting services is defined in the project proposal. Services may include page copy, banner text, and module descriptions.
Content Revisions. Two rounds of content revisions are included. Additional revisions will be billed at our standard hourly rate.
Client-Supplied Content. Clients providing their own copy must submit it before the development phase begins. Momentum assumes no responsibility for editing client-provided copy but will proofread it for spelling and grammar. Opting to self-supply or edit content does not affect project setup costs.
Photography and Imagery
Stock Photography. Website packages include up to 25 royalty-free Adobe Stock photos. Additional selections require client approval and will be invoiced separately. Editing of stock or client-provided photos is limited to cropping and scaling for consistency and quality.
Photo Galleries. Websites may include up to three galleries, each with up to 15 images. The Client is responsible for supplying or selecting gallery images. Additional galleries or images may incur additional charges at the standard hourly rate.
Deployment and Launch
Launch Conditions. Websites are launched only upon full payment. The launch process is completed within 1–2 business days, avoiding Fridays and observed holidays to ensure smooth transitions. Post-launch change requests are billed at the standard hourly rate.
Third-Party Hosting. Launches on third-party hosting services require prior arrangement and may incur a launch fee of up to $750 to cover additional coordination and setup time.
Training
Training Session. Each website includes one 30–60-minute Google Meet training session to review site management and features. In-person training is not provided, and no printed materials are supplied. Sessions may be recorded upon request, and a copy will be provided to the Client.
Ongoing Support. Continued support and training are available through Momentum’s online ticket system, email, or phone.
Maintenance
Included Maintenance. Websites hosted by Momentum include one hour of monthly maintenance unless otherwise stated in the proposal. Unused time does not roll over. Requests exceeding one hour are billed in 15-minute increments at the standard hourly rate. An estimate will be provided for approval if tasks are expected to exceed one hour. Maintenance includes plugin updates, minor layout adjustments, and performance checks; new feature development or redesigns are billed separately.
Project Timelines
Completion Schedule. The project timeline begins after the client kickoff meeting. Timely submission of materials and feedback is essential to stay on schedule. Delays in client deliverables or additional feature requests may require timeline adjustments.
Search Engine Optimization (SEO) Policies
Ranking Variability. Due to the dynamic nature of search engine algorithms and competition, Momentum cannot guarantee specific rankings for any keyword or phrase. Rankings fluctuate based on numerous factors unique to each campaign.
Third-Party Changes. Momentum is not liable for website changes made by third parties that negatively impact rankings or performance.
Keyword Tracking. The number of tracked keywords is defined in the proposal. Additional keywords may be tracked for an added cost. Campaigns may launch with partial keyword tracking, expanding over time.
Expansion of Service Locations. SEO services cover the locations defined in the proposal. Adding locations will incur an additional monthly fee per location.
Additional Services. Services not explicitly mentioned in this document are billed at Momentum’s standard hourly rate. Website updates and copywriting are not included in SEO services unless stated otherwise.
SEO Content and Review Policy
Content Production. Our SEO efforts focus on producing unique and fresh content that is pertinent to your chosen keywords. This content is carefully designed to be indexed by search engines, thereby improving your website’s linkage with these keywords. We incorporate content specifications into our content plans, which includes decisions on the technical level and content length, ensuring these elements align with your strategic goals. This method is tailored to optimize the use of your budget effectively, focusing on achieving your keyword-related objectives.
Content Review and Revision Policy
Momentum provides two options for content approval. In alignment with our commitment to client satisfaction and content quality, Momentum has developed the following review and revision procedures:
#1 Pre-Publishing Review Option
- Clients have the choice to review new content before it’s published.
- If a client opts for review, they will have 7 business days to provide feedback on the first version of the content and 3 business days for feedback on any revised content.
Content Feedback
- It is critical to provide clear and specific feedback to facilitate effective revisions. Ambiguities in feedback can impede the revision process. Specific scenarios may necessitate content revisions. These include inaccuracies in reflecting your business, irrelevant facts, or sensitive information you prefer not to disclose. Your precise feedback is invaluable for refining content to your satisfaction.
- Feedback should only be provided by one primary point of contact for the Client.
- Feedback should be provided as comments within the document (Word Doc, Google Doc, PDF, Notion, etc.).
Content Revisions
- Momentum offers up to two revisions on content to ensure it meets your expectations and requirements. After the second round of revisions Momentum will publish the content.
- Momentum can unpublish content if it does not meet the Client’s expectations after two rounds of revisions.
- In case that there are more than two rounds of revisions requested we will schedule a virtual meeting to discuss content quality and expectations.
Feedback and Delinquency
- Failure to provide feedback within the designated timeframe will classify the request as delinquent. Further, work or revisions on the delinquent content will be suspended until the client provides feedback.
- In situations where the primary content contact is on leave or will be out for a period of time, the Client needs to let us know beforehand and they will have two options:
- Make someone else within the company the primary contact during that period
- Choose to pause content production until they return
- We will proceed with content creation for an SEO campaign as long as there are less than two delinquencies.
- Accumulating two delinquencies within a 6-month period will result in an automatic pause in content creation services, and designated hours will be reassigned to other tasks.
#2 Automatic Publishing
- Clients can waive the right to review content prior to publishing, allowing Momentum to directly publish all new content without review.
- Clients have the right to request revisions within 7 business days of published content.
- If feedback isn’t received within the 7 business day review period, we will assume the content is satisfactory and make no further edits.
- Momentum will automatically update and publish any requested revisions.
Content Revisions
- Momentum offers up to two revisions on content to ensure it meets your expectations and requirements.
- Feedback provided after the review period may incur additional charges for rewrites or result in deductions from your campaign’s content budget, depending on the extent of the requested changes.
- If any part of the content requires a rewrite after the review period, whether that’s 1-2 paragraphs, the entire content piece, or if new content is requested to be added to the content piece (like creating a new paragraph or section), this will also result in additional charges.
- Revision requests later than 7 business days may or may not be considered.
- After the review period has ended, Momentum can unpublish content if it does not meet the Client’s expectations. Momentum will also automatically update and publish any requested (and approved) revisions.
Policy on Additional or Late Revisions:
- Momentum understands the dynamic nature of business and strives to accommodate late feedback within reasonable limits. However, late revisions, beyond the stipulated review periods, may incur additional charges or adjustments in your campaign’s content budget, at the Content Manager’s discretion.
- Additional revisions will require more funds allocated from the budget.
- Momentum reserves the right to stop content production if more than two rounds of revisions are frequently requested, or if the Client frequently provides feedback later than 7 business days (after the content is published).
Search and Display Advertising Policies
Campaign Performance. Momentum cannot guarantee specific outcomes for digital advertising campaigns. Performance depends on multiple factors, including the client’s budget. Lack of sufficient budget may impact results, for which Momentum assumes no responsibility.
Pausing or Suspension. Clients may pause campaigns at any time; however, the minimum monthly management fee will still apply. Pauses longer than 30 days may result in campaign termination.
Ad Spend. All advertising spend is paid directly by the Client. Momentum is not responsible for paying ad spend on behalf of the Client.
Landing Pages. Minor optimizations are included. New landing pages or major redesigns are quoted and billed separately.
Fee Structure. Management fees are tied to ad spend during each billing cycle and may adjust accordingly.
Reporting. Report data is sourced from reliable platforms such as Google but is provided “as is.” Momentum does not guarantee absolute accuracy or completeness of third-party data.
Retainers
Retainers. Retainer hours may be used for website updates, campaign adjustments, copywriting, or conversion optimization. Momentum will provide recommendations, but Clients are encouraged to proactively suggest how to use their hours. Hours do not expire and are non-refundable.
Hosting Service Policies
Client Content. Clients are solely responsible for all content uploaded, stored, or distributed through Momentum’s hosting services. By posting content, Clients represent that they own or have rights to it and that it does not infringe on third-party rights. Momentum may remove or disable access to content violating this Agreement without refund.
Email Service. Momentum does not provide email hosting or management. Clients are responsible for configuring and maintaining their own email accounts and services.
HIPAA Disclaimer. Momentum’s services are not HIPAA-compliant. Clients must not store or process protected health information on Momentum servers. Doing so constitutes a material breach and grounds for immediate termination.
Backups and Data Loss. Daily and weekly backups are maintained, with one week of backups retained at any time. Momentum is not responsible for client data loss. Clients are encouraged to maintain their own backups for additional protection.
Uptime. Momentum is not liable for downtime or interruptions in hosting services.
Red Flag Policy
Red flags indicate conditions that may impact a project or campaign, such as:
- Communication difficulties or delayed approvals
- Change in client point of contact
- Repeated meeting cancellations
- Substantial revisions suggesting misaligned expectations
- Unforeseen issues affecting timelines or performance
If a red flag arises, the Project or Account Manager will schedule a call to review the situation, reset expectations, and outline next steps. Consistent red flags may result in project delay, reassessment, or additional fees.
Confidential Information
Each party may receive confidential or proprietary business or technical information (“Confidential Information”). Both parties agree to maintain the confidentiality of such information, using it only as necessary to perform obligations under this Agreement. Confidential Information does not include publicly available information or data lawfully obtained from third parties.
Relationship of the Parties
Independent Contractor. Momentum is an independent contractor, not an employee or partner of the Client. Nothing in this Agreement creates a joint venture, partnership, or agency relationship. Momentum retains control over how services are performed.
Momentum Agents. Momentum may engage third-party service providers (“Agents”) to assist in service delivery and remains responsible for their compliance with this Agreement.
No Exclusivity. This Agreement is non-exclusive. Both parties may engage other clients or vendors for similar services.
Rights to Deliverables
Website Design and Original Artwork. Momentum retains all right and title in and to any original artwork comprising Final Art, including all rights to display or sell such artwork. All assets provided by the Client will remain the right of the Client. This includes website copy, photography, images, and documents.
Source Code. Momentum retains ownership of all proprietary source code used in website development. Clients receive a perpetual, non-exclusive license to use it for their owned website.
Third-Party Materials. All third-party materials are the property of their respective owners. Clients are responsible for securing necessary licenses for use. Clients agree to indemnify Momentum from claims arising from unlicensed materials.
Ownership of Creative Deliverables and Content. Upon full payment, the Client owns all rights, title, and interest in Creative Deliverables, including custom designs, logos, and development work. Momentum retains a non-exclusive, perpetual license to use these materials for portfolio, promotion, and marketing purposes.
